1. Acceptance of Terms

By accessing or using SpinPro ("the Platform"), you agree to be bound by these Terms & Conditions. If you do not agree to these terms, please do not use the Platform.

2. Intellectual Property Rights

2.1 Platform Ownership: All content, features, and functionality on SpinPro, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, and software, are the exclusive property of SpinPro or its licensors and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

2.2 User Content: You retain ownership of any content you submit to the Platform (tournament data, player profiles, results, etc.). However, by submitting content, you grant SpinPro a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content for the purpose of operating and promoting the Platform.

2.3 Prohibited Use: You may not reproduce, distribute, modify, create derivative works of, publicly display, republish, download, store, or transmit any material on our Platform without prior written consent from SpinPro, except for your own personal, non-commercial use.

2.4 Trademarks: "SpinPro" and all related logos are registered trademarks or trademarks of SpinPro. You may not use these marks without our prior written permission.

3. Confidentiality & Non-Disclosure

3.1 Confidential Information: In the course of using SpinPro, you may have access to confidential and proprietary information, including but not limited to: business strategies, technical specifications, algorithms, source code, database structures, user data processing methods, and future product plans ("Confidential Information").

3.2 Non-Disclosure Obligations: You agree to:

• Keep all Confidential Information strictly confidential
• Not disclose Confidential Information to any third party without prior written consent
• Not use Confidential Information for any purpose other than using the Platform as intended
• Not reverse engineer, decompile, or attempt to extract source code from the Platform
• Not create competing products or services based on knowledge gained from using SpinPro

3.3 Duration: These confidentiality obligations shall survive termination of your use of the Platform for a period of five (5) years.

3.4 Exceptions: Confidential Information does not include information that: (a) is publicly available through no breach of this agreement; (b) was rightfully known to you prior to disclosure; (c) is independently developed by you without use of Confidential Information.

4. User Accounts & Responsibilities

4.1 Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4.2 Accurate Information: You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

4.3 Prohibited Conduct: You agree not to: (a) violate any laws or regulations; (b) infringe upon the rights of others; (c) interfere with or disrupt the Platform; (d) attempt unauthorized access to any portion of the Platform.

5. Data Protection & Privacy

Our collection and use of personal information is governed by our Privacy Policy. By using SpinPro, you consent to such processing and warrant that all data provided by you is accurate.

6. Limitation of Liability

SpinPro is provided "as is" without warranties of any kind. To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.

7. Termination

We reserve the right to suspend or terminate your account at any time for violations of these Terms, without prior notice. Upon termination, your right to use the Platform will immediately cease, but Sections 2 (Intellectual Property), 3 (Confidentiality), and other provisions that by their nature should survive will remain in effect.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of South Africa, without regard to its conflict of law provisions.

9. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified to users via email or prominent notice on the Platform. Continued use after such changes constitutes acceptance of the modified Terms.
